This is a follow up to the closure of your telemarketing operation on Thursday.~' ay 13. 1999.
The Secretary of the Department is terminating your contract dated August 3, 1\ 92, and
extended June 20,1997. The contract is terminated under Clause VII. Termintion:
"Either party may terminate this Agreement by providing thirty (30) days.! written notice to
the other party. The notice period shall begin to run on the second day following the
postmark thereof or upon the same day which personal delivery is aCCO~PIiShed:

A question has been raised by one of the private sector partners regarding ttite ability for
offenders to have access to the Internet in the course of daily business activkies. I have
enclosed for your review a copy of Department of Corrections Policy 280.92., Offender
Access to Electronic Data, which specifically addresses this issue.

Policy 280.925, Section II C, states that physical security.barriers must be in!'place to
ensure that offenders are restricted from accessing the Internet, LANIWAN <rocal Area
Networks and Wide Area Networks), dial-in access (modems), E-Mail, and o~-Iine
services. Only Civilian staff is allowed to ·have access to these areas. If the$e
applications are necessary for your operation, please let me know prior to in_.tallation so
that I can work with appropriate institution staff ~o ensure that proper securitY barriers
will be in place.

As agreed, we have ceased all marketing activities for our mortgage customers
facility.

You also stated that you could support the industry if we were doing somithin

THIS CONTRACT is entered into between the State of Washington, Dep
Corrections, hereinafter referred to as "Department" or "DOC", and Was
Marketing Group, P.O. Box 7179, Bellevue, Washington 98008, hereina
as "Contractor~" for the purpose of providing work trafning and/or vocatio

"Institution" or "WSR", and is entered into pursuant to Section 72.09.100

referred to as "direct marketing room") and in connection therewit

. CONDITIONS OF OCCUPANCY

General: Nothing herein shall be construed as creating eit
agreement or a lease, and the Contractor shall not have the
sublet, sublease, assign, transfer, or enter into any other ag
regarding the occupancy herein granted. The occupancy 0

Contractor and Superintendent, or Superintendent's design e, shall
meet quarterly to review contract performance. The parties so agree to
nonscheduled meetings within seven (7) days of receipt of written
request of either party.

Schedule Type B attached hereto as Exhibit B.
The Contractor may, with the prior approval of the Institutio
Superintendent or designee, install a telephone system in t
Marketing Room, which must be secured at all times in a

materials, machinery, and equipment necessary to produc the products

CONDITIONS OF EMPLOYMENT OF OFFENDERS

A.

General: The Department shall provide referrals through t unit team

Nondiscriminatjon: In connection with the Contractor's hiri of offenders,
the Contractor shall adhere to the nondiscrimination provis ons of the
General Terms and Conditions, attached hereto as Exhibit and made a
part hereof. Contractor shall have the authority to hire and fire
employees, but in ail events Contractor will comply with th
nondiscrimination provisions referred to hereinabove.

On Site Supervision: The Contractor shaH provide an on-si supervisor
at all times offenders are working in the industry area, and ill provide
job supervision and job instruction to all offenders hired he under. The
Contractor shall give safety instructions to aU offenderswo ing
regarding the Contractor's eqUipment.
The Contractor shall provide. within two weeks of signature of this
Contract Agreement. the Superintendent, the Division of C rrectional
Industries and each offender employee with a copy of the
ntractor's
company policies and procedures; and retain in each offen er
employee'S personnel file a form signed by the offender e loyee stating
that the policies and procedures have been received and u derstood.
Each new offender employee shall receive a copy of such olicies and
procedures upon their first day of work. and shall sign a for to be
maintained in their personnel file stating that they have rec ived and
understood said policies and procedures.

Wage Schedule: At a minimum, the Contractor will pay em loyed
offenders in accordance with the "Offender Job Description and
Announcement" as approved by the Director, Correctional I dustries,

the Contractor's right to pay more.

IV.

WORK STOPPAGE; LOCKDOWNS; DOWNTIME

A.

General: Neither the state of Washington nor the Departmen, nor their
employees or agents shall be liable for any damages to Con actor or
any third party growing out of or related to any work stoppag regardless
of the reason therefor.

PERIOD OF PERFORMANCE
The period of performance of this Contract shall commence on July 1, 1992 and
terminate on June 30, 1993, unless sooner terminated as provided erein.
This Contract may be extended for like periods or portions thereof b mutual
consent of the parties. However, this Contract carries no expresse or implied
right of extension after the initial, or extended, contract period(s}.

VII.

TERMINATION
Either party may terminate this Agreement by providing thirty (30) d
notice to the other party. The notice period shall begin to run on th

accomplished; Provided, however, this Contract may be terminated
by the Department if, in the discretion of the Secretary of the Depart

X.

TERMS AND CONDITIONS
Mandatory compliance shall be required of all Department policie
procedures as well as all applicable federal, state and local laws,
and regulations.
All rights and obligations of the parties to this Contract shall be su ect to and
governed by the "Terms and Conditions" contained in the text of th Contract
Agreement and the "General Terms and Conditions", attached her to as Exhibit
"A" and made a part hereof.

XI.

ALL WRITINGS CONTAINED HEREIN
This Agreement contains all the terms and conditions agreed upo by the
parties. No other understandings, oral or otherwise, regarding the subject
matter of this Agreement shall be deemed to exist or to bind any 0 er parties
hereto.

XII.

ORDER OF PRECEDENCE
In the event of an inconsistency in this Contract, unless otherwise rovided
herein, the inconsistency shall be resolved by giVing precedence i the
following order:

A.

Those Terms and Conditions as contained in the basic Con
Agreement; and

B.

The General Terms and Conditions, attached hereto and in orporated
herein.
