APPROVE AMENDMENT NUMBER 9
FOR AUTHORIZATION OF EXTENSION OF AGREEMENT NUMBER 74376
WITH COMPASS GROUP USA, DBA (IN CALIFORNIA) COMPASS GROUP FOOD
SERVICES, DBA CANTEEN VENDING SERVICES
(ALL DISTRICTS) (3 VOTES)
SUBJECT
This Board letter serves to execute Amendment Number 9 to Agreement Number
74376, which will extend the current Agreement for an additional period of performance.
The current Agreement with Compass Group USA, DBA Compass Group Food
Services, DBA Canteen Vending Services, (Canteen Vending Services) will expire on
August 17, 2008, and this extension period will enable the Los Angeles County Sheriffs
Department (Department) to complete a Request For Proposals (RFP) solicitation
process for a new Agreement for cashless vending machine services for inmates
without interrupting the current revenue-generating, vending machine service
Agreement.
IT IS RECOMMENDED THAT YOUR BOARD:
1.

Approve and instruct the Chair of the Board to sign the attached Amendment
Number 9 to revenue generating Agreement Number 74376 with Canteen
Vending Services to continue providing vending machine services to inmates
being held in Department detention facilities, utilizing debit cards. The proposed
Amendment will extend the Agreement for a period of one (1) year, with a six (6)
month option, in any increment.

Authorize the Sheriff, or his designee, to execute applicable documents when
the original contracting entity has merged, been purchased, or otherwise
changed; and to execute Amendments to meet the needs of the Department,
including the above extension provision, if it is in the best interest of the County.

PURPOSE/JUSTIFICATION OF RECOMMENDED ACTION

Approval of this action will ensure that there is no interruption of debit-card vending
machine services to inmates being held in Department detention facilities and that the
revenue generated from these vending machines is not delayed. Also, the extension
will allow the Department to complete its solicitation process for a new cashless,
inmate-only, vending machine service Agreement.
Implementation of Strategic Plan Goals
The services provided under this Agreement support the County's Strategic Plan Goal
1, Service Excellence; Goal 3, Organizational Effectiveness; and Goal 4, Fiscal
Responsibility by continuing to allow inmates to have access to the revenue generating
vending machines and, thereby, increasing the funds that support various programs
and projects for inmates.
FISCAL IMPACT/FINANCING

This is a revenue generating Agreement. The Contractor pays the Department a
commission of 35.5 percent of the total gross of vending machine sales on a monthly
basis. Revenue generated is deposited into the Department's Inmate Welfare Fund,
which is used to fund various educational and recreational programs and projects that
benefit the inmates.
FACTS AND PROVISIONS/LEGAL REQUIREMENTS

The Sheriff is authorized under Penal Code 4025 to operate a store in detention
facilities to allow inmates to purchase goods, supplies, and certain personal articles.
Pursuant to this provision, the products sold in the debit-card vending machines are for
inmates only. The types of products being sold through debit-card vending machines
include, but are not limited to:
Snack items, such as candy, chips, cookies, and trail mixes;
Cold plastic bottle beverages that include, but are not limited to, sodas, water,
sport drinks, and fruit juices;
Over-the-counter medications, which are available in individual packets.

The Department released a Request For Information (RFI) on May 30,2008, seeking
information on cashless vending machine services that are currently available and any
emergent technology planned for implementation within the next year, such as wireless
technology. Based on the information gathered from the RFI, the Department is
developing and will release an RFP to solicit for an Agreement with a vendor to provide
cashless inmate vending machine services.
Canteen Vending Services is in compliance with all Board, Chief Executive Office, and
County Counsel requirements.
County Counsel has reviewed and approved Amendment Number 9 as to form.
Except as expressly provided in Amendment Number 9, all other provisions and
conditions of the Agreement will remain the same and in full force and effect.
IMPACT ON CURRENT SERVICES (OR PROJECTS)

Approval of these actions will ensure uninterrupted vending machine services for
inmates who are in the Department's custody. Additionally, it will enable the
Department to maintain its Inmate Welfare Fund, which is the principal source of
funding for educational and other programs to benefit the inmates.
CONCLUSION

Upon approval by your Board, please return three (3) adopted copies of this action and
three (3) adopted copies of the Amendment to the Department's Contracts Unit.

AMENDMENT NUMBER 9 TO AGREEMENT NUMBER 74376
DEBIT-CARD VENDING MACHINE SERVICES
This Amendment Number 9 ("Amendment Number 9") is entered into by and
between the County of Los Angeles (hereinafter "COUNTY") and Compass Group USA
dba Canteen Vending Services, a Delaware Corporation, (hereinafter

"CONTRACTOR"), effective as of August 18, 2008, based on the following recital:
A.

WHEREAS, on February 18, 2003, the COUNTY and CONTRACTOR entered
into Agreement Number 74376 (hereinafter the "Agreement") to provide debitcard vending machine services; and

B.

WHEREAS, the Agreement currently expires on August 17, 2008; and

C.

WHEREAS, the COUNTY and CONTRACTOR desire to extend the term of this
Agreement to avoid interruption of selVices.

NOW THEREFORE, in consideration of the foregoing recitals, all of which are
incorporated as part of the Agreement, COUNTY and CONTRACTOR hereby further
agree as follows:

This AGREEMENT is extended for a period of one (1) year, effective August 18,
2008; with a six (6) month option, in any increment.

Except as expressly provided in this Amendment Number 9, all other provisions, and
conditions of the Agreement will remain the same and in full force and effect.
CONTRACTOR represents and warrants that the person executing this Amendment
Number 9 for CONTRACTOR is an authorized agent who has actual authority to bind
CONTRACTOR to each and every item, condition, and obligation of the Agreement and
that all requirements of CONTRACTOR have been fulfilled to provide such actual
authority.
